HMBRadio.com Radio™ Terms of Service

HMB RADIO PROGRAMING AGREEMENT (this "Agreement") is made effective as of date your music has been approved by and between HMBRadio.com/RicaShay Music Production, Inc., a Georgia corporation ("Service provider"), and you said Client ("Copyright Owner").

Welcome to HMBRadio.com™! You may use HMBRadio.com and its affiliated sites (collectively, "RicaShay, Inc.") on the condition that agree to the following terms.

BY ACCESSING, USING OR INTERACTING WITH OUR INTERNET RADIO SERVICE, YOU SIGNIFY ELECTRONICALLY THAT YOU AGREE TO THESE TERMS OF SERVICE ("TERMS") AND THE TERMS OF OUR PRIVACY/ PROGRAMING POLICY.

If you do not agree, you may not use HMB Internet Radio.

1. About these Terms.

HMBRadio.com is provided by RicaShay, Inc., and its affiliates, successors, parents (including Hit Music Buzz.com HMBRadio.com.), subsidiaries, assigns and licensee, who provide HMBRadio.com (collectively, "we" or "us"). You understand and agree that as HMBRadio.com evolves, we may in our sole discretion change or update these Terms at any time. You can review the most current version of these terms from our hypertext link located at the top of our web site http://www.hmbradio.com. Your ongoing use of HMBRadio.com after we post or notify you about changes to the Terms signifies your acceptance of the new terms. If you do not agree to the changes, your sole recourse is to stop using HMBRadio.com.

Submitting Your Music To HMBRadio.com

By Submitting your music you acknowledge that you are the  copyright owner, administrator and or authorized agent of the songs emailed or received in our office. We will review your music and reply via email within 1-2 business days. Your music must be professionally mixed with mastered quality sound and approved for programming. Submitting your CD, PressKit or Mp3's to our email/ mailing address constitute your agreement to be aired on HMBRadio.com. If your a previous member of Hit Music Buzz this update applies you as a member.

Non-Exclusive  Rights

We do not own your music, you are the copyright owner will allow HMBRadio.com to use the song/beat to promote add to HMB commercials and or to broadcast on HMBRadio.com only.

Airplay Account Cancellation/Termination

HMB Radio at its sole discretion, reserves the right to close an account of any customer at any time for any or no reason upon 1 week notice. Customer/Artist can cancel there service at any time by giving a thirty day notice.

Royalties

HMBRadio.com is not affiliated with any performance rights organizations listed below.

Client/s and or customers will not receive a royalty from ASACP, BMI or SESAC or any performance rights organizations from HMBRadio.com. HMBRadio.com must however give full credit to the copyright owner on all commercial recordings and print media if played or promoted on (HitMusicBuzz.com, HMBRadio.com). Upon your membership you the "Artist /Customer", still owns exclusive rights to your material/song(s).

Your material/song(s) will not be distributed without you approval.  You the member/copyright owner must sign up for our distribution services to receive royalties from iTunes, Amazon etc.

Privacy

HMBRadio.com will only use your Information according to its Privacy Policy (See posted on HMBRadio.com Privacy Policy Statement) as may be established from time to time, the provisions of which are expressly incorporated into and made a part of this Agreement.

Proprietary Materials

The Site contains copyrighted material, trademarks, service marks and other proprietary information which may include without limitation: text, software, logos, trademarks, video, graphics, images, music and sound (collectively "Proprietary Material"). You agree not to copy, reproduce, modify, publish, transmit, participate in the transfer or sale of, create derivative works of, or in any way exploit, in whole or in part, any Proprietary Material owned by HMBRaio.com and/or its customers or authorized representatives on the Site without first obtaining explicit written permission (and making payment if required) from the original copyright holder(s) of such Proprietary Materials.

LIMITATION OF LIABILITY

Regardless of the form of action (whether in contract, tort, breach of warranty or otherwise), and except as otherwise expressly provided herein, IN NO EVENT WILL HMBRadio.com OR ITS PARTIES BE LIABLE TO YOU FOR ANY DAMAGES WHATSOEVER WITH RESPECT TO YOUR USE OF THE SITE, INCLUDING WITHOUT LIMITATION ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY OR SPECIAL DAMAGES EVEN IF ADVISED OF THE POSSIBILITY OF THE SAME. TO THE EXTENT THAT IN A PARTICULAR CIRCUMSTANCE ANY DISCLAIMER OR LIMITATION ON DAMAGES OR LIABILITY SET FORTH HEREIN IS PROHIBITED BY APPLICABLE LAW, THEN, INSTEAD OF THE PROVISIONS HEREOF IN SUCH PARTICULAR CIRCUMSTANCE, HMBRadio.com  WILL BE ENTITLED TO THE MAXIMUM DISCLAIMERS AND/OR LIMITATIONS ON DAMAGES AND LIABILITY AVAILABLE AT LAW OR IN EQUITY BY SUCH APPLICABLE LAW IN SUCH PARTICULAR CIRCUMSTANCE, AND IN NO EVENT WILL THE DAMAGES OR LIABILITY EXCEED US $50. Some states do not allow the exclusion or limitation of incidental or consequential damages under certain circumstances and the above exclusion or limitation may not apply.

General

These Terms of Service contain the entire understanding of the parties relating to their subject matter and supersede any prior written or oral agreement or understandings between the parties with respect to its subject matter. The provisions of these Terms of Service are to be interpreted in a reasonable manner to effect the purpose of the parties, and are not to be interpreted or construed against HMBRadio.com because it participated in their drafting. The invalidity or unenforceability of any provision of these Terms of Service will not affect the validity or enforceability of any other provision. HMBRadio.com may assign or transfer this agreement, in whole or in part, to any party without notice. No agency, partnership, joint venture or employment is created as a result of these Terms. All terms and conditions of this “Digital Programming agreement" which by their nature are meant to survive the termination of the Terms of Service will survive termination. BY USING THE SITE, YOU AGREE TO BE BOUND BY THESE TERMS OF SERVICE and LICENSE AGREEMENT.
